These terms of use (the “Terms of Use”) apply to the website operated by Nature’s Cork® of 37 Eilat St., Tel Aviv under the domain name: https://www.naturescork.com (the “Website”). The Website is an internet
website constituting a virtual store to purchase products and services by the
users over the internet. Any use of the Website, including any transactions, reservations or the like made through the Website, as well as any information provided directly or indirectly via the Website, shall be regulated in accordance with these Terms of Use as well as Nature’s Cork®’s privacy policy.

Any users of the Website (the “User(s)”) must read and confirm the Terms of Use before using the Website. Upon confirmation by a User that he/she has read the Terms of Use, the Terms of Use shall constitute a binding agreement between the User and Nature’s Cork® and shall serve as a complete, final and irrevocable confirmation by the User that he/she has read the Terms of Use, understood them and agrees to their content.

Notwithstanding the aforesaid, accessing and/or browsing and/or using the Website, in any manner whatsoever and for whatever purpose, shall also constitute complete irrevocable consent to the Terms of Use. If User does not agree to the Terms of Use, in whole or in part, User is prohibited from visiting or using the Website.

Violation of the Terms of Use may result in blocking the User’s use of the Website, and may also lead to legal proceedings and/or other legal measures brought against the User by Nature’s Cork® and/or anyone acting on its behalf and/or any authority and/or other third parties.

We reserve the right to update and/or modify and/or amend and/or add and/or remove portions of these Terms of Use from time to time at its sole discretion, without prior notification. Any change made in these Terms of Use shall apply to all Users automatically whether or not they have consented to the same and it is the User’s sole responsibility to review these Terms of Use from time to time in order to be apprised with any such updates, modifications or amendments.

Nature’s Cork® owns or is authorized to use any and all intellectual property rights, whether registered or unregistered, including any and all copyrights, patents (including pending patent applications), trademarks, logos or website designs, in relation to any and all information and/or content and/or any materials posted on or through the Website, including text, design, databases, programs, program codes, images, audio portions, videos, (the “Materials”). Users may not copy, modify, reproduce, publish, broadcast, republish, alter, upload, post, publicly exhibit, transmit, sell, market or otherwise transfer any of the Materials from the Website, whether in whole or in part, without Nature’s Cork®’s prior written consent.

For the purpose of these Terms, “User” – any individual including, but not limited to a company, may use the Website, including, but not limited to performing actions through the Website, all subject to complying with the accumulative conditions as detailed below:

The User is qualified to perform binding legal actions; in the event you are a minor (under the age of 18) or you are not entitled to perform legal actions without guardian’s approval, you are required to inform your parents and/or legal guardians (“The Parents”) of the provisions in these Terms and to obtain their approval to execute any action of any type within the framework of the Website. The parents are responsible to inform the minors interested in surfing the Website of these Terms and to monitor the minors’ actions so that the minors act pursuant to these Terms. Any action that is performed by the minors through the website constitutes the minors’ and/or the parents’ consent to the provisions in these Terms.
The User is a holder of a valid Israeli or international credit card.
The User has an active electronic mail address over the internet.

The following headings are for the User’s convenience and orientation purposes and will not serve as an aid to interpreting the Terms.

The Service

The Website offers a variety of content and/or services and/or actions including but not limited to the services detailed below:

Creating a “Wish List” – a list of items selected by the User.
Reading various contents.
Purchasing products and/or services.
Sharing and sending items from the Website, from the User to his friends and acquaintances via email and/or sharing through social networks.
Providing review and/or responses to items and/or contents on the Website that are published on the Website and/or our Facebook page. It is clarified that we are entitled to choose, pursuant to our exclusive and absolute discretion whether to publish or prevent the publication of the review.

We do not undertake that all the Website’s contents and services will be given and/or will be given regularly and continuously through the Website and we will be entitled to change (including but not limited to broadening or limiting) the list of products and/ or content and/or services rendered through the Website, pursuant to our exclusive discretion and without having to give any notice in advance.
The User confirms that our goodwill in our field of activity and that he must refrain from hurting our goodwill including refraining from taking any action on the Website that may prejudice our good name in the public’s eye. In this context, the User undertakes that it will not act in any manner that may prejudice our
goodwill as stated above.

Ordering through our Website
In order to place an order, one must first choose the item or the service, the requested model, color and the size. For each item offered on the Website, a “product page” will be displayed upon which the details pertaining to the item
offered will appear and the sale price (“The Product Page”). Please note that we are entitled to revise the Product Page from time to time and to add or remove items, to remove products that are no longer in stock, to add colors and/or sizes and to update and/or change the item price from time to time. Moreover, it is hereby clarified that the pictures on the Website are solely for illustration purposes, pictures may differ from the actual products themselves,
including but not limited to the colors appearing in the pictures and the details of the items. These differences derive, inter alia from the fact that the products are photographed and displayed on a computer screen.
In order to make a purchase through the Website you will be requested to type in basic details such as your name, address, electronic mail address, telephone number, and credit card number. In order for the order to be handled quickly and hassle-free, you must ensure to remit correct details otherwise we will not be able to guarantee that the order be processed (“Placing the Order”). Please note that if you knowingly submit false details, it may be considered as a criminal offense. Civil and criminal legal measures may be taken against those submitting false details, including but not limited to a claim in torts for damages we sustain due to obstructions relating to the operation of the Website.
Upon placing the order we will run a check pertaining to the credit card details and upon receiving the order confirmation from the credit card companies, and we will deliver appropriate notification to you that the order was approved.
We would like to clarify that the person executing the order will be charged the cost of the product or the service that was purchased by him through the credit card immediately upon concluding the order.

Conditions For Completing The Order:
• The order will only be concluded after completing the order process and after we receive approval from the credit card companies that the charge has been approved in accordance with the work procedures in effect between them and us. In the event a transaction is not approved by the credit card companies – the customer will receive appropriate notification.
• Completing the purchase transaction is also contingent upon the fact that the requested items are in stock at the time the order process is completed. In the event a product is no longer in stock and/or there is a problem will supplying the product, due to whatever reason, we will be entitled to notify you that the order was canceled. Such notification will be delivered to you via electronic mail and/or over the telephone, as we so choose. In such a case, you will have no allegation whatsoever against us and by the mere fact that an order is placed the User waives any such allegation.
• We reserve the right to limit the number of items in each order.

Shipping

Shipping Times

Your order will be delivered by US Postal Service to your local post office within 21-28 working days. You will receive a tracking number you can use to track the location of your package.
Please allow extra days for delivery during times of Israeli holidays, US national holidays, weekends and sales.

We shall not be responsible for any act and/or omission committed by the courier service company, including but not limited to a delay in making the delivery.

Items will be only delivered to the United States of America.

We shall not be obligated to deliver the items to areas having restricted access due to security reasons or due to force majeure events (war, epidemic diseases etc.)

The delivery charge will be added to the price of the items stated on the Website.

Customs Fees

Please note that all shipments to destinations outside of Israel may be subject to import duties and taxes, which are levied by the importing country at the time the shipment arrives in your country. All applicable duties, fees and any additional charges for customs clearance are your, our customer’s, responsibility. Please refer to your customs department for guidance.

Canceling Orders and Returns:

User may cancel the order in the following manner: (a) by sending a request by email to: sales@www.naturescork.com; or (b) by contacting Nature’s Cork® by telephone at 972-54-5246002. Each such cancellation notice should be made within 12 hours of making the order. Nature’s Cork® shall send the User confirmation of such cancellation up to 2 working days after receiving the User’s cancellation notice. In case of cancellation within the above timeframe, Nature’s Cork® shall be entitled to charge the User, the lowest of 5% of the order amount or NIS100 as a cancellation fee (“the Cancellation Fee”), using the credit card/PayPal information provided by the User at the time of placement of the order.

Should you decide to return the package, you may do so at your own expense by sending it to our address at 37 Eilat St., Tel Aviv Israel 6684611. If the Products are unused and undamaged, you will be entitled to a refund, with the cancellation fee and shipping costs deducted from the amount paid.

Intellectual Property

The Service and its original content, features and functionality are and will remain the exclusive property of Nature’s Cork® and its licensors. We own or are authorized to use any and all intellectual property rights, whether registered or unregistered, including any and all copyrights, patents (including pending patent
applications), trademarks, logos or website designs, in relation to any and all information and/or content and/or any materials posted on or through the Service, including text, design, databases, programs, program codes, images,
audio portions, videos, surveys and statistics (the “Materials”). You may not copy, modify, reproduce, publish, broadcast, republish, alter, upload, post, publicly exhibit, transmit, sell, market or otherwise transfer any of the Materials from the Service, whether in whole or in part, without our prior written consent.

Use of the Website and Materials

Users shall only use the Website in accordance with these Terms of Use and for lawful purposes only and shall be prohibited from making use of the Website in the following ways (jointly and severally, the “Unauthorized Use”): (1) for distribution, marketing or promotion; (2) insertion of links on the Website without Nature’s Cork®’s prior written consent; (3) making reservations which include incorrect details in whole or in part; (4) making changes and/or modifications to the Website and materials therein or attempting to do so; (5) disrupting and/or interfering with access to the Website, its components, servers and/or network connections and/or attempting to interfere with any use by other Users; (6) requesting or otherwise attempting to harvest, obtain or store Information; (7) disguising the origin of User’s contact information; (8) using any computerized or automatic mechanism in order to collect information from the Website or make reservations through it; (9) violating any requirements, procedures, policies or regulations of networks connected to the Website; (10) in any way that may breach or violate, or attempt to breach or violate, any right of Nature’s Cork® or a third party; (11) in any way that may harm, demean and/or slander others or denigrate their good name; (12) in a way that contravenes any law, competent authority or judicial decree; and/or (13) use which violates these Terms of Use.

Nature’s Cork® reserves the right, at its sole discretion and at any time, to prevent or limit the use of the Website by any User making Unauthorized Use of the Website as aforesaid, without impairing its right to exhaust other remedies available under applicable law, and without prior notification. In addition, Nature’s Cork® shall be entitled to take any legal action, in order to obtain the identity of Users making Unauthorized Use of the Website and shall comply and fully cooperate with any law enforcement authority and/or court order in connection with the same.

Web Crawlers

The Website is intended for individual use, and the use of automated software or programs (colloquially referred to as “web crawlers” or “robots”) to access the Website and download large amounts of data is expressly prohibited. The User acknowledges this is a condition of access, and undertakes not to employ such technology to access the Website. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. We go to great lengths to ensure the accuracy of our website, including prices and stock levels, however, there may be inconsistencies beyond our reasonable control. In the event that the User placed an order for a Product that is not in stock, we will cancel the order and provide a full refund for the Product not in stock. We will fulfill the remaining order for any Products where the ordered amount is in stock at the time of the Order.

Nature’s Cork® invests its resources and takes various security steps to prevent invasion of the Website’s computers and/or databases in order to prevent the possible invasion of privacy of Users. However, Nature’s Cork® is unable to completely secure its computers and/or the Website’s databases from illegal access and prohibited use of information. Therefore, by using the Website, Users undertake that they will not have any claim and/or recourse and/or lawsuit against Nature’s Cork® and/or anyone acting on our behalf resulting from potential unauthorized accessing as provided above and/or exposure and/or use of information from this aforesaid unauthorized invasion of privacy.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Israel without regard to its conflict of law provisions, and the sole venue for adjudication for any and all matters pertaining to the Terms of Use shall be the competent courts in the Tel Aviv district.

Failure to exercise and/or require the strict performance of any provision hereof or to enforce any right with respect thereto shall in no manner affect our right to enforce the same at a later time and shall in no way be construed to be a waiver of such provision or right.

In any event that Nature’s Cork® decides to deviate from these Terms of Use, it may do so at its sole discretion and without creating a binding precedent in any form and without obligating it to act in the same manner or in a similar manner in any other case. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

If any provision in these Terms of Use is found to be unenforceable, such provision shall be limited or deleted to the minimum extent necessary so that the remaining provisions remain in full force and effect.

The amounts detailed in these Terms of Use include VAT. All prices shown are cash prices in US Dollars ($). We reserve the right to accept or reject orders, to refuse applications or with prior written notice to close an account, according to our reasonable discretion. We will request payment for the full amount on confirmation of your order.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
